These Terms of Service and Terms of Sale (collectively, the “Terms”) constitute a legally binding agreement between you (“User”, “you”) and Wiseboard, Inc., a company duly incorporated under the laws of the United States (“Wiseboard”, “Company”, “we”, “us”, “our”).
By accessing or using our website, platforms, APIs, digital products, or services, you agree to be bound by these Terms.
Scope & International Use
1.1. Wiseboard provides digital-only products and Services, including but not limited to digital guides, educational materials, subscriptions, SaaS tools, and related Services.
1.2. Our Services are offered globally, including users located in the United States, the European Union, and Ukraine.
1.3. Users are responsible for compliance with their local laws, taxes, and regulations where applicable.
Acceptance of Terms
2.1. By using the Services or purchasing any digital product, you confirm that:● you are legally capable of entering into a binding agreement;● you have read, understood, and accepted these Terms.
2.2. If you use the Services on behalf of a legal entity, you represent that you have authority to bind such entity.
Accounts & Access
3.1. Some Services may require account registration.
3.2. You agree to provide accurate and current information and keep your credentials secure.
3.3. Wiseboard is not responsible for unauthorized access resulting from your failure to safeguard credentials.
Terms of Sale
4.1. Digital Nature of Products
4.1.1. Wiseboard does not sell or deliver physical goods.
4.1.2. All products and Services are provided exclusively in digital form, including downloadable materials, online access, or access to software-as-a-service (SaaS) solutions. The services may be delivered or supported through third-party platforms, tools, or service providers selected by Wiseboard at its discretion. Wiseboard may update, replace, or modify such tools from time to time without prior notice, provided that the core functionality of the Services is not materially degraded.
4.2. Orders & Payment
4.2.1. Orders are placed electronically via the website or authorized third-party platforms.
4.2.2. Prices are displayed in the applicable currency and may exclude taxes (VAT, sales tax) unless stated otherwise.
4.2.3. Wiseboard reserves the right to modify pricing at any time.
4.3. Delivery of Digital Products
4.3.1. Digital products are delivered via:● user account access,● email,● download links,● SaaS platform access.
4.3.2. Delivery is deemed complete once access is granted.
4.4. License & Usage Rights
4.4.1. Upon payment, Wiseboard grants you a limited, non-exclusive, non-transferable, revocable license to use the digital product for personal or internal business use only.
4.4.2. You may NOT:● resell, sublicense, or redistribute;● copy or modify content;● use products for unlawful or competitive purposes.
4.5. Refunds & Right of Withdrawal
4.5.1. Digital products are generally non-refundable, once access or download is provided.
4.5.2. Refunds may be granted only if:● the product is technically defective and cannot be accessed;● access was not delivered due to Wiseboard’s fault.
4.5.3. For EU consumers: by purchasing digital content, you explicitly consent to immediate performance and acknowledge loss of the statutory withdrawal right under Directive 2011/83/EU.
Marketplace & Third-Party Platform Integration
5.1. Wiseboard products and Services may be sold or accessed through third-party marketplaces, app stores, or SaaS platforms.
5.2. Purchases made via third parties are subject to:● these Terms;● the applicable third-party platform terms.
5.3. Wiseboard is not responsible for payment processing, refunds, or technical issues caused by third-party platforms.
API & SaaS Access
6.1. Wiseboard may provide API access or SaaS integrations.
6.2. Users agree not to:● overload systems;● reverse engineer APIs;● bypass security mechanisms.
6.3. Wiseboard may limit or revoke API access at its discretion.
Intellectual Property
7.1. All content, software, trademarks, and materials are the exclusive property of Wiseboard or its licensors.
7.2. No ownership rights are transferred under these Terms.
Data Protection, GDPR & Privacy Shield
8.1. Wiseboard processes personal data in accordance with:● GDPR (EU Regulation 2016/679);● applicable US data protection laws.
8.2. For EU users, Wiseboard acts as a Data Controller.
8.3. International data transfers are safeguarded through:● Standard Contractual Clauses (SCCs);● equivalent lawful transfer mechanisms.
8.4. Full details are available in the Privacy Policy, which forms an integral part of these Terms.
8.5. Data Security Measures. Wiseboard implements reasonable administrative, technical, and organizational measures designed to protect personal data and user information against unauthorized access, loss, misuse, alteration, or disclosure.
8.6. Backups and Business Continuity. Wiseboard maintains commercially reasonable data backup and recovery procedures intended to support the availability and integrity of the Services.
However, Wiseboard does not guarantee uninterrupted operation, error-free performance, or the prevention of all data loss. Business continuity, backup, and disaster recovery processes may rely on third-party infrastructure and Service providers. Wiseboard does not commit to specific recovery time objectives (RTO) or recovery point objectives (RPO), unless expressly agreed in writing.
Prohibited Conduct
9.1. Users may not:● violate laws or regulations;● infringe intellectual property;● distribute malware or harmful content;● attempt unauthorized access.● spam, scraping, automated account creation, abusive content, etc.
Disclaimer & Limitation of Liability
10.1. Services are provided “as is” and “as available”.
10.2. To the maximum extent permitted by law, Wiseboard shall not be liable for indirect, incidental, or consequential damages.
10.3. Total liability shall not exceed the amount paid by the user for the relevant product or Service.
Termination and Data Export
11.1. Wiseboard may suspend or terminate access to the Services in accordance with these Terms.
11.2. Upon termination or expiration of the Services, users may request a copy of their data, to the extent such data is available and technically exportable through the Services.
11.3. Unless otherwise required by applicable law, such request must be submitted within thirty (30) days following termination. After this period, Wiseboard may delete or anonymize user data in accordance with its Privacy Policy and data retention practices.
11.4. Data will be provided in a commercially reasonable and commonly used electronic format, as determined by Wiseboard. Wiseboard may charge a reasonable administrative fee for data export requests that require manual processing or customization.
Governing Law
12.1. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.
Arbitration & Mediation
13.1. Any dispute arising out of or relating to these Terms shall first be resolved through good-faith mediation.
13.2. If mediation fails, disputes shall be finally settled by binding arbitration under the rules of the American Arbitration Association (AAA).
13.3. Arbitration shall be conducted in English.
13.4. Class actions are waived to the fullest extent permitted by law.
Changes to Terms
14.1. Wiseboard reserves the right to update or modify these Terms from time to time.
14.2. If changes are material, Wiseboard will make reasonable efforts to notify users, including by posting an updated version on the website or by other appropriate means.
14.3. Continued use of the Services after the effective date of the updated Terms constitutes acceptance of the revised Terms. If you do not agree with the changes, you must discontinue use of the Services.
