Self-check

Answer eight statements as they are today

Honest answers give a useful range. Every driver below is one we have raised in companies like yours before a sale.
  1. 1.A buyer can tell from the website alone which niche the company is best at.
  2. 2.The largest client brings less than 40% of revenue.
  3. 3.Key clients are on multi-year or auto-renewing contracts, and retention is tracked.
  4. 4.Sales, key accounts and delivery decisions run without the founder for a month.
  5. 5.Management reporting is monthly, and a forecast for the next two quarters exists.
  6. 6.Gross margin by project is known and sits above the benchmark buyers use.
  7. 7.Delivery runs on a documented framework, and project health is visible before clients escalate.
  8. 8.Corporate structure, IP and contracts would pass due diligence without a cleanup.
What moves the multiple

Eight drivers, in the order buyers check them

  • Niche and positioning: Expertise in a named niche is priced above capacity in any niche.
  • Client concentration: One client above 40% of revenue, the threshold we use when we read a portfolio, is a discount however good the relationship.
  • Contracts and retention: Multi-year contracts and tracked retention move money from deferred to paid at closing.
  • Founder independence: Sales, key accounts and delivery that run without you are the system a buyer pays for.
  • Financial transparency: Monthly management reporting and a two-quarter forecast shorten due diligence.
  • Margins: Gross margin by project above the threshold we read a services P&L against, and a P&L that explains it.
  • Delivery governance: A documented framework and visible project health, audited before the LOI.
  • Due-diligence risks: Structure, IP and contracts that pass without a cleanup keep the price from being renegotiated.
